The Association's Board of Directors is made up of seven
volunteer
homeowners that work together to manage the business affairs of the

The president has general management and control of the business and affairs of the association, including the power to appoint committees from among the property owners, and as the president may deem appropriate to assist in the conduct of the affairs of the association.
sundancemtsouth@gmail.com The vice president, in the absence or disability of the president, exercises the powers and performs the duties of the president and exercises such other powers and perform such other duties as shall be prescribed by the directors.
sundancemtsouth@gmail.com The secretary keeps the association’s minutes of all proceedings of the directors and the membership, and gives all notices and disclosures required by law or the bylaws.
sundancemtsouth@gmail.com The treasurer is responsible for the deposit of receipts and the payment of obligations of the association, for keeping accurate financial records and books of account showing all receipts and disbursements, and for the preparation of all required financial data, statements, and reports.

As with the officers, the directors are volunteers - property owners - who work with the officers in the day to day operation of the association.
Boards of Directors are elected by members at each annual
meeting of the
members. Each director is elected by a plurality. For example, if there
are two vacancies, the two candidates who receive the greater number of
votes are elected, whether or not either received a majority of the
votes cast. In the event of a tie, the candidates draw lots at
the new board's first organizational meeting to determine which
candidate shall serve on
the board or for what term. Officers of the board
are then
elected at the Annual
OrganizationalMeeting of the Board of Directors directly following
the Annual Membership Meeting.
Terms of Office.
Directors shall hold office until their successors have been
elected and qualified and may serve no more than two consecutive
two-year terms if so elected. After two years have elapsed after
such director leaves the board, he or she may be nominated and if
elected, serve as a director for another two terms, if so elected.
A director may resign at any time.
Board Elections.Board elections will be held at the Annual Membership Meeting. You may submit nominations for the upcoming election by mail or email to the SMSA President. We urge everyone to serve on the board for at least one or more terms.
SMSA Conflict of Interest and Ethics Policy. Passed by the board on Oct. 18, 2021. All board members and volunteers are required to sign.The purpose of this Conflict of Interest and Ethics Policy (Policy), approved this day by the Board of Directors is to commit the Sundance Mountain South Association’s business to the highest standards of integrity, responsible behavior, and ethical and professional conduct and to protect the association and its members interests when considering entering into a transaction or arrangement that might benefit the financial or personal interest of a director, officer, or member of a committee with board delegated powers.
